Registered agent requirements in North Carolina
Facts checked October 13 to 14, 2026.
Every North Carolina LLC, and every out-of-state LLC with authority to do business here, must keep a registered agent and a registered office in the state (N.C. Gen. Stat. § 55D-30). You name the agent in your Articles of Organization ($125), and switching later costs $5 on Form BE-06. One rule that is easy to miss: the agent's own business office has to be the same place as the registered office, so a resident who works somewhere else cannot simply list a different address.1, 2, 3
Who can be a registered agent in North Carolina?
North Carolina allows either an individual who lives in the state or a qualifying business entity, and in every case the agent's business office must be identical with the LLC's registered office (N.C. Gen. Stat. § 55D-30).1
The individual category is worded tightly. The statute describes "An individual who resides in this State and whose business office is identical with the registered office". Two tests sit in that phrase, and both have to be met. The person must reside in North Carolina, and the place where they do business must be the registered office you file.1
The statute's full text also lets these entities act as agent, each one again whose business office is identical with the registered office.
- a domestic corporation, nonprofit corporation or LLC
- a foreign corporation, nonprofit corporation or LLC that is authorized to transact business in North Carolina
So a cousin in Asheville can serve if they agree and the office you list is where they do business. A partner who moved to Richmond cannot, even if they still own half the company. An accounting firm based in Charlotte can serve as an entity if it is formed or authorized in North Carolina and its business office is the registered office you list. A law firm in Atlanta with no North Carolina authority cannot.
Nothing in the statute asks for a licence or legal training. The job is to receive service of process (the formal delivery of court papers) and official notices and pass them on quickly. Our plain-English guide to what a registered agent does covers those duties, and the glossary defines the legal terms used here.
What address can a North Carolina registered agent use?
The registered office must be in North Carolina, and it must be the agent's business office (N.C. Gen. Stat. § 55D-30). That matching rule decides which addresses work.1
In practice the matching rule plays out like this.
- An owner's home in Durham works if the owner is the agent and runs the business from home, because the home is then their business office.
- A storefront or workshop in the state works when the agent is the person or entity doing business there.
- A friend's apartment is weak ground if the friend has no business there. The statute's wording asks for the agent's business office, not a place they happen to live.
- A P.O. box or mail drop has no business office behind it in the ordinary sense. The sources for this guide include no Secretary of State statement on boxes, so ask the Business Registration Division before listing one.
When you hire a commercial agent, its North Carolina office becomes your registered office, and that is the address that appears in the agent field. Every provider works this way, so it is no reason to pick one service over another. Your filings still ask for other addresses. The annual report's required contents are summarized this way: Registered agent and office, principal office address and phone, names/titles/addresses of principal company officials, and a brief description of the business. These sources do not say which of those fields the state's online record displays, so look up an existing company on the Secretary of State's business search to see what shows.4
If you want a separate business address for those other fields, some agent providers sell one as its own product. Tailor Brands has a Virtual Address product but doesn't publish its price. Swyft Filings lists a virtual address at $29/mo, and Harbor Compliance lists $350/year per company, per location, marked as a limited-time offer. Check whether each covers North Carolina. Our page on what an agent can and can't keep off public filings explains the limits.5, 6, 7
Can you be your own registered agent in North Carolina?
Yes, if you live in North Carolina and the registered office you list is your own business office (N.C. Gen. Stat. § 55D-30). You name yourself in the same agent field of the Articles that would otherwise hold a service's name.1
The legal bar is the matching rule. If you run the business from a rented office in Greensboro, that office is your registered office and you need to be reachable there. If you work from home, your home address becomes the registered office.
The practical trade-offs come next.
- Being there. A process server or courier can arrive on any business day. Owners who spend their days at client sites, on the road or in the field can miss a delivery, and a missed lawsuit can end in a default judgment.
- Your address goes on the record. For a home business that means your home address sits on your Articles and every annual report.
- Moving out of state means you no longer meet the residency test, so you would need a new agent filed before the gap rules below apply.
Owners who live outside North Carolina cannot be their own agent. They need a resident individual whose business office is the registered office, or a qualifying entity such as a commercial service. The statute lists LLCs among the entities that may act as agent, but it does not say whether an LLC may list itself. If you want that arrangement, ask the Business Registration Division how to complete the form.
Common reasons to switch to a service include a move, a first hire away from home, or wanting a home address out of the annual report's agent field. The comparison of North Carolina registered agent services sets their published prices and terms side by side.
How do you name a registered agent when you form a North Carolina LLC?
You name the agent and the registered office in the filing that creates the LLC, Articles of Organization (Form L-01), $125.3
The state takes the Articles this way: Online, or on paper (Form L-01) by mail. Standard processing for new entities is 5 to 10 business days, and the Secretary of State says online filing is always faster. If you need it sooner, the state sells two faster tiers: $200 for same-business-day filing if received by 12:00 noon ET; $100 for filing within 24 hours (weekends and holidays excluded).8, 9, 10
Before filing, confirm three points.
- The agent's name, exactly as you want it on the record.
- The registered office street address, which must be the agent's business office in North Carolina.
- That the agent has agreed to serve. This guide's sources do not describe a separate consent form at formation, so read the instructions on Form L-01 and ask the Business Registration Division if anything is unclear.3
The step-by-step North Carolina LLC formation guide covers the rest of the Articles, and the cheapest ways to form an LLC in North Carolina page adds up the state fees.
How do you change your registered agent in North Carolina?
You file a Statement of Change of Registered Office and/or Registered Agent (Form BE-06) with the Secretary of State. The fee is $5, among the smaller state charges an LLC will see, and the same form updates the registered office address.2, 3
The order of steps protects you from a gap in coverage.
- Pick the new agent and confirm they meet the residency or entity test and that their business office will be the new registered office.
- Get the new agent's agreement to serve before you file.
- File Form BE-06. If timing is tight, the state's expedite fees are written for documents generally: $200 for same-business-day filing if received by 12:00 noon ET, or $100 for filing within 24 hours.3, 10
- Wait for the state to record the change, and treat the old agent as your agent until it does.
- Then cancel the old service, following its terms.
Provider terms differ on step five. LegalZoom says proof of new RA may be required when you cancel. InCorp's terms require one of these before the annual fee is due: dissolve entity, appoint new agent, or resign InCorp with fees. Harbor Compliance's service keeps renewing unless non-renewal notice given at least 90 days prior. Northwest lets you cancel online with no cancellation fee. Read your current contract before you file so a renewal date doesn't land mid-switch.11, 12, 13, 14
North Carolina also treats a delay as a dissolution ground: an LLC that fails to report an agent change or resignation within 60 days gives the state grounds for administrative dissolution. Our general guides on changing a registered agent and cancelling an agent service cover the steps that work the same everywhere.15
What happens if your North Carolina registered agent resigns?
The agent files a statement of resignation certifying it has notified the LLC, and the SOS mails copies. The appointment, and the registered office if it was the agent's, ends on the 31st day after filing.16
The resignation statute means you should hear about it twice: once from the agent, at the LLC's last known address, and again from the state, which mails its copy to the principal office address on file. If those addresses are out of date, neither notice may reach you.
Once you know, the clock is short. An LLC that fails to report an agent change or resignation within 60 days has a ground for administrative dissolution, and so does one left without an agent or office for 60 days or more. The safe course is to file Form BE-06 naming a replacement as soon as the notice arrives, rather than waiting for the appointment to end.3, 15
A commercial agent may resign when a renewal goes unpaid, and an individual agent may stop after a retirement, a move or a falling-out. If you suspect your agent has stopped serving, search your LLC on the Secretary of State's site and check which agent is listed.
What happens if a North Carolina LLC has no registered agent?
Going without a registered agent or registered office for 60 days or more is a ground for administrative dissolution under the LLC dissolution statute, and so is failing to report an agent change or resignation in time.15
Here is the sequence the rules set up.
- The LLC has had no registered agent or registered office for 60 days or more, or it fails to report an agent change or resignation within 60 days.
- The Secretary of State can then administratively dissolve the LLC. The same statute also lists a late annual report as a ground.
- A dissolved LLC loses good standing, which can stall a bank loan, a contract that asks for a certificate of existence, or a licence renewal.
There is a practical danger before any of that. A lawsuit can be filed against an LLC with no working agent, and you may not learn of it until a judgment arrives.
Reinstatement is available on Form L-08 for $100. The sources for this guide do not list what else must be filed alongside it, so ask the Business Registration Division before you apply. The North Carolina compliance guide covers reinstatement and the other dissolution grounds in more depth.3
What does a North Carolina LLC file each year?
A North Carolina LLC files an annual report with the Secretary of State, due April 15 each year, starting the year after formation, and the fee is $200 by paper, $203 online.17
The report lists your registered agent and office, so it is a yearly chance to notice that the record is out of date. If your agent has changed, the dedicated route is Form BE-06 rather than waiting for the report.3
A report not delivered on or before the 60th day after it is due gives the state grounds to dissolve the LLC, the same remedy as an agent lapse. Several of the agent services compared on this site send annual report reminders, and some file the report for an added fee. The North Carolina compliance calendar lays out the first and second year, and annual reports explained covers how these filings work in general.15
Do out-of-state LLCs need a North Carolina registered agent?
Yes. An LLC formed elsewhere files an Application for Certificate of Authority to do business in North Carolina, for $250, and it must keep a registered agent and office here under the same rule (N.C. Gen. Stat. § 55D-30).1, 18
Your home-state agent does not carry over unless it is itself formed or authorized in North Carolina and has a business office here that you can list as the registered office. A Virginia LLC expanding into Raleigh, for example, needs a North Carolina agent on top of its Virginia one. If a national service already acts for you in another state, ask how it bills for an added state.
Foreign LLCs change agents on the same Form BE-06. If you also operate next door, compare Virginia's registered agent rules, South Carolina's rules and Tennessee's rules.3

North Carolina registered agent questions
Can I be my own registered agent in North Carolina?
Yes, if you live in North Carolina and the registered office you list is your own business office (N.C. Gen. Stat. § 55D-30). For many home businesses that means listing a home address, which then appears on the LLC's filings.1
Can my registered agent live in another state?
Not as an individual. The statute requires "An individual who resides in this State and whose business office is identical with the registered office". A business based elsewhere can serve only if it is authorized to transact business in North Carolina and its business office here is your registered office.1
How much does it cost to change my registered agent in North Carolina?
The state charges $5 for Form BE-06. Expedited handling costs extra, from $100 for filing within 24 hours up to $200 for same-business-day filing if received by 12:00 noon ET. A paid agent's own yearly fee is separate.2, 3, 10
How long do I have to replace an agent who resigns?
The appointment ends on the 31st day after filing. Separately, an LLC that fails to report an agent change or resignation within 60 days gives the state a ground for dissolution, so the safer course is to file the change as soon as the resignation notice arrives.15, 16
Can a P.O. box be my registered office?
The registered office must be the agent's business office in North Carolina (N.C. Gen. Stat. § 55D-30), which points to a physical place where the agent works. This guide's sources include no state statement on P.O. boxes, so ask the Business Registration Division before listing one.1
What does it cost to reinstate an LLC dissolved for having no agent?
The Application for Reinstatement, Form L-08, costs $100. This guide's sources don't list what else the state needs with the application, so ask the Business Registration Division what your record needs.3
Does an LLC formed in another state need a separate North Carolina agent?
Yes, once it registers with an Application for Certificate of Authority ($250). Its agent must meet the same resident or authorized-entity test and have its business office at the registered office in North Carolina.18
