Agent for service of process requirements in West Virginia

Facts checked October 13 to 14, 2026.

West Virginia does not force an LLC to name an agent for service of process. The statute says an LLC "may continuously maintain in this state" an office and an agent (W. Va. Code § 31B-1-108), so West Virginia LLCs are not required to appoint an agent for service of process. If you do name one, you list it on the Articles of Organization (Form LLD-1), filed for $100, and you can switch later on Form AAO for $15. The grounds for administrative dissolution do not include lacking an agent, while a missed annual report is one of them.1, 2, 3, 4, 5

West Virginia Registered Agent vs Agent for Service of Process

West Virginia's statute uses "agent for service of process" rather than registered agent, the term most states use. On the Articles of Organization (Form LLD-1) the agent line says "if any", and you also list a designated (physical) office.

The designated office is a physical office address the LLC lists on Form LLD-1, separately from the agent; the statute says it need not be a place of the LLC's business in the state.

Who can be an agent for service of process in West Virginia?

The statute names a closed set of people and companies who may take the role, and nobody outside it qualifies. In the words of W. Va. Code § 31B-1-108: "An agent shall be an individual resident of this state, a domestic corporation, another limited liability company, or a foreign corporation or foreign company authorized to do business in this state."1

Put plainly, that allows these choices.

Two details in that sentence deserve a closer look. The individual must be a resident, so a co-owner in Pittsburgh or Columbus cannot be named, however often they cross the state line. And the LLC option is worded as "another" limited liability company, which reads as a company other than yours. If you hoped to name your own LLC, ask the West Virginia Secretary of State how it treats that before you file.

The statute's list itself mentions no office test, licence or training for the agent. The agent's job is to accept service of process, the formal delivery of lawsuit papers, and pass it on to you. The plain-English explainer on what an agent for service of process does covers duties that apply everywhere, and the glossary defines the legal terms.

What address does West Virginia ask for, and what becomes public?

West Virginia asks for two separate addresses on the Articles. One is the agent's address, if you name an agent. The other is the LLC's designated (physical) office.6

The agent line on Form LLD-1 reads "agent to whom notice of process may be sent, if any". The statute pairs the agent with an "address of the agent" (W. Va. Code § 31B-1-108) but, in the sources checked for this page, says nothing more about what kind of address that must be. The state does not publish a position on P.O. boxes or mailbox services for the agent line, so ask the West Virginia Secretary of State before relying on either.2, 6

The designated office is a different field. The form's own label calls it a physical office, and the statute adds that the office is one "which need not be a place of its business in this state". So the office can be somewhere other than where you actually work, but because the form says "physical", ask the West Virginia Secretary of State before using a P.O. box there.1

What appears on the public record is harder to pin down. The sources behind this page do not list which fields the West Virginia Secretary of State shows in its online records. What they do show is that the annual report "requires update of managers or members authorized to sign filings, addresses, agent of process", so these details are refreshed with the state every year.7

Every commercial agent lists its own address in the agent line, so naming a service keeps your home out of that one field. It does nothing for the designated office or the other addresses the forms ask for. Some providers sell a separate business address product; whether it suits the designated office is not something their published facts address. Northwest Registered Agent lists Mail Forwarding $20/month (24 select states), so check whether West Virginia is one of them. Swyft Filings charges $29/mo for a virtual address, and Harbor Compliance charges $350/year per company, per location. Tailor Brands sells a virtual address too, with the price not published. See what an agent can and can't keep off the record for the wider picture.8, 9, 10, 11

Can you be your own agent for service of process in West Virginia?

Yes, if you live in West Virginia, because the statute allows any individual resident (W. Va. Code § 31B-1-108). You can also leave the agent line empty, since the form asks for an agent only "if any".1

That gives a West Virginia owner three realistic paths, and each has a cost that is practical rather than legal.

  1. Name yourself. It costs nothing extra. You need to be reachable at the address you list, and that address goes into state filings and each year's annual report.
  2. Name a person or a service. A resident relative, an employee or a commercial agent takes delivery of papers for you. A paid service adds a yearly bill but keeps your own address out of the agent line.
  3. Name no one. The law allows it. The sources checked for this page do not say where lawsuit papers go for an LLC with no agent on file, so ask the West Virginia Secretary of State or a lawyer how service would reach you before you choose this.

If you live outside the state, you cannot fill the agent line yourself. Your options are a West Virginia resident you trust, a business that qualifies under the statute, or leaving the line empty. Owners who travel, work on site, or move often may prefer a service; the list of West Virginia agent services compares published prices and terms.

How do you name an agent when you form a West Virginia LLC?

You name the agent, if you want one, on the Articles of Organization (Form LLD-1), filed with the West Virginia Secretary of State for $100. On the form, the agent line comes directly after the designated office.2, 3

Filing methods are Online via the One Stop Business Portal, or paper form (mail or in person). Filing online adds a $1.00 online processing fee to the state fee.3

Before you file, settle three things.

  1. Whether to name an agent at all. The form asks for one only "if any".
  2. Who it is, checked against the statute's list.
  3. That the person or company has agreed. This page's sources do not describe a consent form for the Articles, so confirm any consent rules in the form's instructions.

Standard processing takes 5-10 business days at no extra charge. Faster turnaround is sold separately: 24-hour $25; 2-hour $250; 1-hour $500 (in addition to the filing fee). For the rest of the form, see the step-by-step guide to forming an LLC in West Virginia, and for the full fee arithmetic, the page on the cheapest ways to form a West Virginia LLC.2, 12

How do you change your agent for service of process in West Virginia?

You file the Application to Appoint or Change Process, Officers, and/or Addresses (Form AAO). The West Virginia Secretary of State's page on agent, address and officer changes lists the fee as $15 and allows online filing via the One Stop portal; a paper form is also available.4, 5

The order of steps is where switches go wrong, so take them in this sequence.

  1. Choose the new agent and confirm it fits the statute's list.
  2. Get the new agent's agreement in writing, or sign up with the service.
  3. File Form AAO online or on paper. If you need it fast, the state sells expedited handling in addition to the filing fee; the cheapest tier costs $25.4, 12
  4. Check the West Virginia Secretary of State's record shows the new agent.
  5. Cancel the old service only after that.

Cancelling first does not put good standing at risk on that ground, because lacking an agent is not a dissolution ground. It can cost you a lawsuit notice that went to an agent you had already let go. Provider terms differ on the exit, too. ZenBusiness handles cancellation by contacting customer support by phone. LegalZoom notes that proof of new RA may be required. InCorp Services wants one of several conditions met before the annual fee falls due, listed as "dissolve entity, appoint new agent, or resign InCorp with fees". Northwest Registered Agent lets you cancel anytime through the online account, with no cancellation fee.13, 14, 15, 16

Because the same form also changes officers and addresses, one filing can update the designated office and the agent together. Can it remove an agent without naming a replacement? This page's sources don't say, so ask the West Virginia Secretary of State if that is your plan. The general guides to changing an agent and cancelling an agent service cover the steps that work the same in every state.

What happens if your West Virginia agent resigns?

The agent can step down on its own. It files a statement of resignation with the West Virginia Secretary of State, and the resignation statute sets out the rest. Under that section, the Secretary of State mails a copy to the designated office and to the LLC at its principal office. From there the clock is fixed: the agency ends on the 31st day after filing.17

Because the state does the mailing, the notice reaches whatever office addresses are on file. If you moved and never updated the designated office, the copy may go to an old address and you may not learn of the resignation at all.

Because an agent is optional, the sources for this page show no deadline for naming a replacement. That does not make a resignation harmless. Once it takes effect, papers served on the old agent may no longer reach you through them, and your next annual report will ask you to state your agent for service of process. The practical step is to decide quickly whether to appoint someone new on Form AAO or to run without an agent on purpose.4

A commercial agent may resign if a renewal goes unpaid, so if your card expired or your account email changed, watch for mail from the West Virginia Secretary of State.

What happens if a West Virginia LLC has no agent for service of process?

Nothing happens to the LLC's standing on that ground alone. The grounds for administrative dissolution do not include lacking an agent, which fits a statute that says an LLC "may" keep one (W. Va. Code § 31B-1-108).1

The grounds that do apply are unpaid fees/taxes, annual report not delivered within 60 days, license revocation, employment-program default, misrepresentation. For an LLC with nothing owed and no employees, the annual report is the ground most likely to matter. Reinstatement has a time limit: an LLC can apply within 2 years of dissolution, starting with a $25 application fee plus back fees, late fees and a Tax Division letter of good standing. The West Virginia compliance guide walks through those costs and the filing.1, 18

The risk of having no agent sits elsewhere. A lawsuit against your LLC still has to be served somehow, and with no agent named you have less control over where papers land. If that worries you, a registered agent service or a trusted resident is the fix, at whatever price you are willing to pay.

What does a West Virginia LLC file each year to stay in good standing?

It is the annual report, filed between January 1 and June 30 each year, starting the year after registration, with a fee of $25. The state says it "requires update of managers or members authorized to sign filings, addresses, agent of process", so it is the yearly moment to confirm your agent, or the lack of one, on the state record.7, 19

Filed late, the fee rises: $50 late fee if received after June 30 (total $75). Not filing at all for long enough is a dissolution ground, as described above. The West Virginia compliance calendar covers the biennial option, late fees and reinstatement in full, and how annual reports work explains the filing in general terms.7

Do out-of-state LLCs need a West Virginia agent for service of process?

No. The same statute covers registered out-of-state LLCs: "a foreign limited liability company authorized to do business in this state may continuously maintain in this state" an office and an agent (W. Va. Code § 31B-1-108). So the choice is optional for them too.1

To register, a foreign LLC files for a Certificate of Authority, which costs $150, and includes a certificate of good standing/existence from the home state. If it does name an agent, the agent must still fit the statute's list, so a home-state agent counts only if it falls within that list, such as a corporation or company authorized to do business here. Changes later go on the same Form AAO.4, 20

If your LLC also works across the border, compare the rules in Virginia, Pennsylvania, Ohio, Kentucky and Maryland, each with its own registered agent rules.

West Virginia agent for service of process questions

Does a West Virginia LLC have to name an agent for service of process?

No. The statute says an LLC "may continuously maintain in this state" an agent (W. Va. Code § 31B-1-108), and the Articles ask for an agent "if any". Having none is not among the grounds for administrative dissolution.1

Can I be my own agent in West Virginia?

Yes, if you are a West Virginia resident, since the statute allows any individual resident to serve (W. Va. Code § 31B-1-108). Your name and address then go on the Articles and on each annual report.1

Can someone in another state be my West Virginia agent?

Not as an individual, because the statute requires an individual agent to be a resident (W. Va. Code § 31B-1-108). The list names a foreign corporation or foreign company only when it is authorized to do business in West Virginia.1

How much does it cost to change agents in West Virginia?

The state fee for Form AAO is $15. Expedited handling costs extra, from $25 for the cheapest tier. A new paid service bills its own yearly fee on top.4, 5, 12

How long does an agent's resignation take to become effective?

Under the resignation statute, the agency ends on the 31st day after filing. The state mails copies to the LLC's addresses on file, so keep the designated office current.17

Is the designated office the same as the agent's address?

No. The designated office is the LLC's own designated (physical) office, an address the statute describes as one "which need not be a place of its business in this state" (W. Va. Code § 31B-1-108). The agent's address is a separate line, filled in only if you name an agent.1, 6

Can my LLC be dissolved for not having an agent?

Not on that ground. Missing the annual report can lead to dissolution, and an LLC can apply for reinstatement only within 2 years of dissolution.18
