Cheapest LLC formation in Idaho
Facts checked October 13 to 14, 2026.
The least an Idaho LLC can cost to form is the Idaho Secretary of State's fee for filing online ($100 online), with nothing else on top. You get there by filing the Certificate of Organization yourself in SOSBiz and acting as your own registered agent from an Idaho street address. Bizee's Basic package ($0 + state fee) can come to the same total, since Bizee says that with its packages you get one year of Registered Agent Service for free, provided the state fee on your order is the online one. A paper filing costs more ($120 by paper). From the second year, the recurring costs are a paid agent's renewal, if you have one, and the Annual Report, due by the last day of the month in which the LLC was formed. That renewal is why a free formation package isn't free: the state fee is always added, and a bundled agent then renews at the provider's yearly price, $149/year (ongoing annual fee) in Bizee's case.1, 2, 3, 4, 5, 6
What does the state of Idaho charge to form an LLC?
These charges are set by the state, so no provider can discount them; package prices are quoted before them.
| Filing | Fee |
|---|---|
| Form the LLC | $100 online, $120 by paper sos.idaho.gov |
| Reserve a name | $20 online; $40 on paper ($20 + $20 manual processing); reserved for 4 months sos.idaho.gov |
| Expedited processing | Expedited: +$40; same-day: +$100 (paper form) sos.idaho.gov |
| Change of registered agent | $0 online, $20 by paper sos.idaho.gov |
| Register an out-of-state LLC | $100 online; $120 on paper (incl. $20 manual processing) sos.idaho.gov |
The fee that always applies to a new Idaho LLC is the filing fee for the Certificate of Organization. It has two levels. Through SOSBiz it costs $100 online; the paper form adds $20.00 for manual processing, which is how a mailed or hand-delivered filing ends up at $120 by paper. A service files the same document and pays the same fee, so ask which way it files. The cheaper online fee only helps you if the service actually uses SOSBiz.1
A name reservation is optional: $20 online or $40 on paper, with the name reserved for 4 months. It only earns its cost if something will delay the filing, such as a signed lease you're still waiting on.7
An LLC formed in another state that registers in Idaho doesn't pay the formation fee. It files a foreign registration instead, for $100 online or $120 on paper.8
The recurring state filing every Idaho LLC makes is the Annual Report, due each year by the last day of the month in which the LLC was formed. Its fee isn't among the facts we've verified for Idaho, so check SOSBiz for the current amount before you budget it. If you're still choosing where to form, the Utah registered agent page and the Washington registered agent page set out those states' own rules.4, 5
What raises the cost of an Idaho LLC?
The bill rises above the online filing fee with a paper filing, paid rush service, a paid registered agent, add-ons and trials at checkout, and any loss of good standing.
The paper surcharge
The Certificate of Organization costs $100 online, $120 by paper, and the whole gap is the state's manual processing charge. It's the easiest saving on this page: file online, or confirm that your provider does.1
Rush processing
Standard processing has no extra charge and currently takes approximately 7-10 days from the date of filing. The paper form lists the paid upgrades: for expedited service you add an additional $40.00 to the filing fee, and for same-day service you add $100.00 to the filing fee. Both are optional. Paying for speed makes sense when a bank, landlord or contract needs the LLC on file by a fixed date. When a package advertises faster handling, ask whether it includes the state's charge or only the provider's own work.1, 9
The registered agent
Every Idaho LLC names a registered agent, and any agent address on a filing must be a street address in this state (Idaho Code § 30-21-404 and § 30-21-403). A paid agent bills every year, unlike the one-time filing fee. There are three ways to cover it.10
- Act as your own agent. An owner with an Idaho street address can be named as a noncommercial registered agent at no cost. Your name and that address then sit in the agent field of the public record, and you need to be there to accept legal papers. The Idaho registered agent guide covers who qualifies.10
- Take a first year bundled with formation, then pay the provider's renewal. Bizee works this way.
- Buy agent service on its own from any provider below.
If a bundled agent's renewal is more than you want to pay, switching costs $0 online or $20 by paper on the state's statement of change. File the new agent first and cancel the old service after, because an LLC that goes 60 consecutive days without an agent can be dissolved. How to change a registered agent walks through the order.11, 12
Add-ons, trials and subscriptions
Checkouts commonly offer an EIN, an operating agreement, a business address and a compliance subscription. The EIN is free from the IRS if you apply yourself, and an operating agreement can be drafted without buying one, so each add-on is a separate choice. Watch for free trials that turn into charges: Swyft Filings starts every plan on a trial of ComplianceGuard $199/year (14-day free trial then auto-charged), and ZenBusiness's Starter includes Worry-Free Compliance free for 1 year (then $199/yr). Idaho does have a yearly report, so a filing service has a job to do here; the question is only whether its price beats filing the report yourself.13, 14
Loss of good standing
A missed Annual Report is grounds for administrative dissolution, and so is going 60 consecutive days without an agent. We haven't verified Idaho's reinstatement fee, so the cost of coming back isn't shown here; staying compliant in Idaho covers the report and how good standing is kept.4, 12

Below, in the same order, is what each cheapest option adds to Idaho's filing fee in year one and what keeps billing after.
Tailor Brands. Lite is $0 plus state fees and doesn't list a registered agent, so budget $199/year for one unless you act as your own. The next plan up, $199/yr plus state fees, recurs yearly and includes annual compliance (report filing and updates). Tailor Brands review.15, 16
ZenBusiness. Starter is $0 + state fees (does not renew), and that "does not renew" note covers the package itself, not the extras you add to it at checkout. The agent is an add-on +$199/yr, with 50% off the first year ($99) when you form an LLC, and renews at $199/yr. Starter's bundled compliance service is Worry-Free Compliance free for 1 year (then $199/yr), so mark the end of that year in your calendar. ZenBusiness review.14, 17
LegalZoom. The basic package is $0 + state filing fees. Its agent is $249/year (first-time registered agent customers) and renews at the purchase rate, which its page marks as rate subject to change. LegalZoom review.18, 19
Bizee. Basic is $0 + state fee and lists Registered Agent (1st year included), so year one can be just the state fee. Year two brings the agent renewal of $149/year (ongoing annual fee). Bizee review.2, 6
Swyft Filings. Basic is $0 + state fees, but its agent is $149 per quarter, or $596/year, the highest yearly agent figure on this page. Its ComplianceGuard trial comes with every plan (14-day free trial then auto-charged), so cancel it in time if you plan to file Idaho's report yourself. Swyft Filings review.13, 20, 21
doola. Starter costs $297/yr every year and includes an agent, though doola doesn't publish for how long. Because the whole plan recurs, year two is billed again, and doola's terms say recurring fees automatically renew at the rates then in effect. doola review.22, 23
Northwest Registered Agent. Formation is $39 + State Fees. Its corporation page describes a total that includes one year of registered agent service, but its LLC page does not say RA is included, so confirm whether it applies to an LLC. The agent alone is $125 per year. Its terms describe RA customers auto-enrolled in Compliance Services, with report filing at $100 + state fees, charged at filing, so ask how that applies before your first Idaho report. Northwest review.24, 25, 26, 27, 28
Rocket Lawyer. Formation is tied to a membership, with the first registration free with a Rocket Lawyer membership. Standard, $149/year, excludes the agent; Plus ($249/year) or Pro ($349/year) adds it for $125 with a Plus or Pro membership. Count the membership as part of the agent's cost. Rocket Lawyer review.29, 30, 31
InCorp Services. Formation is priced starting at $99 plus state fees, with the registered agent sold separately at $129 per state per year, and its terms say the agent is billed at then-current fee. InCorp review.32, 33, 34
Harbor Compliance. Formation starts at $99 plus state fees. The agent is $99 first year (new customers), then $159 annually; to stop it, give notice at least 90 days before the end of the current term. Harbor Compliance review.35, 36, 37
Agent-only prices across all states are on cheapest registered agent services. Packages beyond the cheapest tier are compared on Idaho LLC formation services, and agent terms on registered agents for Idaho LLCs.
Idaho LLC cost questions
Can I form an Idaho LLC for only the state fee?
Yes, if you file online ($100 online) and act as your own agent from an Idaho street address. A package listed at $0 + state fee that includes the agent's first year can reach the same total, as long as the order carries the online state fee. Skip the paid add-ons and get the EIN from the IRS yourself.1, 2
What does an Idaho LLC cost each year after formation?
The recurring items are the Annual Report, due by the last day of the month in which the LLC was formed, and a paid agent's renewal if you use one. We haven't verified the state's annual report fee, so check SOSBiz for it. Any yearly package or subscription you signed up for also renews; taxes aren't covered on this page.4, 5
Is the paper filing ever worth the extra charge in Idaho?
Rarely. The fee is $100 online, $120 by paper, and the state calls online filing its fastest option. The paper form is where the state lists its rush upgrades (Expedited: +$40; same-day: +$100 (paper form)), so a filer who must have one may still end up on paper.1
Does switching registered agents in Idaho cost anything?
The state charges $0 online, $20 by paper to file the change. The cost of switching sits in the old provider's terms, such as Harbor Compliance's notice at least 90 days before the end of the current term. Keep the new agent on file before cancelling the old one.11, 37
Is a free formation package really free in Idaho?
No. The package price leaves out the state filing fee ($100 online, $120 by paper), and a bundled agent or compliance service can renew at full price after the first year, such as Bizee's agent at $149/year (ongoing annual fee). Trials can also turn into charges, like Swyft's ComplianceGuard trial (14-day free trial then auto-charged).1, 6, 13
