What happens if your LLC has no registered agent?

Facts checked October 14, 2026.

An LLC that goes without a registered agent breaks a state filing rule. In states such as Arizona, Georgia and Wyoming, the result is a notice, a window to fix it, then administrative dissolution or forfeiture. Lawsuits don't stop meanwhile: in states such as Wyoming and Michigan, they can be served on the state instead. What people get wrong is timing: the clock often starts when the agent resigns, not when the state writes to you.

How does an LLC end up with no registered agent?

Most gaps start with a resignation the owner didn't notice or didn't act on. The agent files a resignation with the state, the effective date passes, and the LLC is left with nobody on file to accept papers.

The reasons are ordinary. A friend who agreed to serve moves out of state. An employee who was named as agent leaves the company. A commercial service resigns after a renewal invoice goes unpaid, often because the card on file expired or the reminder went to an old inbox. Owners who served as their own agent sometimes move and forget that the address on file is now wrong, which leaves the LLC with an agent in name only.

States give the agent a formal way out, and states such as Delaware, Illinois and Wyoming require the agent to tell the LLC first. Delaware's resigning agent must give the LLC at least 30 days' written notice before filing. Illinois sets the order: Agent mails notice to the LLC at least 10 days before filing. Wyoming requires notice at least 30 days before filing.1, 2, 3

Those notices only help if they reach someone. They go to the addresses the agent and the state have on file, so a stale email or a former office address can turn a routine resignation into a lapse you learn about months later. Keeping your contact details current with your agent and on the state record lowers that risk. Changing to a new agent the right way, before the old one leaves, is covered in how to change a registered agent.

When does the resigning agent actually stop serving?

In some states the resignation takes effect a set period after it is filed, or sooner if the LLC names a new agent first. In others it takes effect on filing, leaving no window at all.

So the window depends entirely on the state. Each state's rule is on its state requirements page, and a state-by-state resignation table is in the cancellation guide, which also explains what a provider may file when you stop paying.

How long does the state give you to appoint a new agent?

Some states, such as Arizona and Georgia, allow a period without an agent before it becomes a ground for dissolution, then send a notice with a further window to cure. Missing both can lead to dissolution.

Here is how that works in a few states, in the states' own terms.

  1. Arizona treats having no statutory agent for 60 consecutive days as grounds for dissolution, then gives the LLC 60 days after notice to cure.10
  2. Georgia's ground is an LLC without a registered agent or registered office in this state for 60 days or more, and the LLC has 60 days after notice to correct the ground.11
  3. Utah's trigger is failing to keep an agent for 60 consecutive calendar days.12
  4. Ohio cancels an LLC's articles if it does not cure within 30 days after SOS notice.13
  5. Alaska's ground applies when the company fails for 30 days to appoint and maintain a registered agent.14
  6. Connecticut's Secretary sends a notice first and can act if no agent is appointed within three months of the sending of such notice.15

Some states count from the resignation, with no separate cure notice in the rule we cite. Delaware's rule: If the LLC does not designate a new agent within 30 days of the agent's resignation, its certificate of formation is canceled. Louisiana's resignation rule adds that a successor agent must be appointed within 30 days.1, 16

A few states also make it a separate ground to stay silent about a change. North Carolina lists an LLC that fails to report an agent change or resignation within 60 days, so reporting the replacement late can be a ground of its own even when someone new is already serving.17

What can the state do to an LLC that has no agent?

Where a state's rule names a missing agent as a ground, the outcome is administrative dissolution or something close to it, under different names.

Colorado takes a softer first step. Under its rule, an LLC becomes Delinquent if it fails to appoint a new registered agent after the agent resigns, and the state's FAQ adds that such an entity risks its good standing with the state. Delinquency is a status you can cure, short of dissolution.27

What happens to lawsuits and state notices while there's no agent?

They keep coming. In some states, a plaintiff who can't serve your agent can serve the state instead, and the case can move forward whether or not the papers ever reach you.

In Oklahoma, if a resigning agent's LLC names no successor, the Secretary of State is deemed the registered agent until one is designated. Wyoming's resignation statute covers the same case: With no successor, service goes to the Secretary of State. Michigan does not list a missing agent as a dissolution ground, but if an LLC fails to keep one, process may be served on the administrator (LARA).3, 28, 29

Whether the state passes those papers on, and to which address, depends on its own procedure; if it uses the last address on record, that may be the one that went stale. If nobody answers by the court's deadline, the plaintiff can ask the court for a default judgment. State notices, such as annual report reminders and tax letters, go astray the same way, and a missed report can add a second problem on top of the first.

How service normally works, and what a working agent does when papers arrive, is in service of process explained. This guide is general information. If a case may have been filed against your LLC during a gap, a lawyer in that state can advise on it.

What does losing good standing cost in practice?

Good standing is the state's confirmation that your LLC is current on its filings. Losing it rarely shuts the doors on day one, but it blocks the paperwork that depends on it.

Banks often ask for a certificate of good standing before opening accounts or approving loans. Larger customers and landlords may ask for one at contract time. Some licence renewals and government contracts require proof of standing. An LLC registered in other states may need a good-standing certificate from its home state to register or renew there.

There is also a name risk. Once an LLC is dissolved, another business may be able to claim a similar name. Texas, for example, says "The reinstatement cannot be filed if the entity name is not distinguishable in the records of the secretary of state." Colorado holds a delinquent entity's name for 400 days from the date of delinquency.30, 31

Are there states where a missing agent isn't a dissolution ground?

Yes. Minnesota and West Virginia make the agent optional, and the dissolution grounds we cite for South Carolina and Michigan leave it out. A reliable address for legal papers is still needed.

In these states the main risk from a missing agent is missed papers rather than dissolution. If the state is the designated agent and forwards to an old address, the result for a lawsuit can be the same as anywhere else. The New York requirements and Minnesota requirements pages explain how each state handles it.

What happens if a foreign LLC's agent lapses?

In states such as Texas and Ohio, an LLC registered there from another state must keep an agent there too, and a lapse can cost the registration, not the company.

Texas names revocation of a foreign entity's registration as the outcome for out-of-state LLCs. Ohio's statute says the registration of the foreign limited liability company shall be canceled without further notice or action. The way back can be harder than for a home-state LLC: Georgia's reinstatement page says Foreign entities cannot reinstate. Pennsylvania's reinstatement page adds: Foreign LLCs cannot reinstate and must file a new foreign registration statement.13, 26, 36, 37

Owners with registrations in several states have more agents to watch, and a lapse in one state can go unnoticed while the home state stays current. The foreign qualification guide covers keeping agents in several states.

How do you get back into good standing?

You appoint an agent and file for reinstatement. In states such as Florida and Virginia, that means a fee plus the reports or fees that fell behind. Some states limit how long you have to do it.

In some states, such as Ohio and Virginia, the filing also has to deal with the agent.

At the other end, Pennsylvania has no time limit for domestic LLCs, and in Massachusetts a dissolved LLC may apply at any time.37, 45

The full process, including tax clearances and what happens to the name, is in how to reinstate a dissolved LLC.

What to do if your agent has resigned or lapsed

The state's window may be shorter than expected, so these steps are best taken as soon as you find out.

  1. Check which agent the state has on file and what your LLC's status is. Where the state offers an online business search, it can show both.
  2. Choose a new agent who meets your state's test. If you plan to serve yourself, check the rules in can I be my own registered agent.
  3. File the change of agent, or the reinstatement form if the LLC has already been dissolved or canceled.
  4. Bring any overdue annual reports and fees up to date, since reinstatement in states such as Florida and Virginia requires them. Annual reports explained covers what's due.
  5. Check whether any lawsuit or state notice was served while no agent was in place, through the state or the courts.
  6. Set a reminder for the new agent's renewal date and keep your contact details current with it.

For a state-specific walkthrough, use the matching compliance page, such as staying compliant in Texas, Wyoming or Delaware.

Questions about having no registered agent

Will the state warn me before dissolving my LLC?

Some states send a notice first, with a window to fix the problem before anything happens to the LLC. Arizona allows 60 days after notice to cure, and Wyoming acts only if the LLC does not comply within 60 days of notice. Delaware's rule is tied to the resignation itself, so the clock there runs from the resignation rather than from any letter.10, 24

Can I keep operating while my LLC has no agent?

Day-to-day business may carry on, but the exposure is real. In states such as Michigan and Wyoming, a lawsuit can be served on the state without your knowledge. Once the state dissolves or revokes the LLC, it loses good standing, which can hold up bank, contract and licence paperwork until the LLC is reinstated.

Does my agent have to tell me before resigning?

In the states we cite, someone must tell the LLC, though not always the agent. Delaware requires at least 30 days' written notice from the agent, while in West Virginia the SOS mails copies to the LLC. The notice goes to the address the agent has on file, so an outdated email or office address is the usual reason owners miss it.1, 46

Is a lapsed agent the same as a dissolved LLC?

No. A lapse is the start; dissolution is where it can end if nobody acts during the state's notice and cure period. Colorado, for instance, first marks the LLC delinquent, a status it can cure with a $100 Statement Curing Delinquency. Check your LLC's status in your state's business search to see which stage you're at.31

What if my agent quit because I didn't renew the service?

That is one way a gap starts. Paying the old invoice may not restore the appointment once a resignation is filed, so it helps to ask the provider what it has filed. The options are then to rehire it or appoint a new agent, and to file the change with the state promptly.

Can my LLC be reinstated after it was dissolved for having no agent?

Often, if the state allows reinstatement and the LLC acts within any time limit, usually with a current agent named. Ohio's Reinstatement and Appointment of Agent, Form 525A handles reinstatement and the new agent in one filing. Some limits are short, as in Wyoming: Only within 2 years.38, 39
