Service of process: what happens when your business is sued
Facts checked October 13 to 14, 2026.
Service of process is the formal delivery of court papers, usually a summons and complaint, that tells a business it is being sued. For an LLC, the papers go to its registered agent at the address on file with the state, and the agent passes them to the owners. The common mistake is thinking the clock starts when you read the papers. It usually starts when the agent is served, so a slow handoff eats into your time to respond.
What is service of process?
Service of process is the step that makes a lawsuit official against the party being sued: someone hands over the court papers in a way the law accepts, so the defendant can't later say it never knew.
Two kinds of document usually arrive together. The summons is the court's notice that a case has been filed and that the defendant must answer. The complaint is the plaintiff's statement of what they claim and what they want. Subpoenas, garnishment orders and some government notices can also be "served", and a registered agent may receive those too.
For a person, the papers can be handed to them directly. A company has no hand to hold out, so states such as Arizona and Maryland have it name someone who will take the papers on its behalf. Arizona's own form puts the definition plainly: a statutory agent is the person or business the LLC appoints for the purpose of accepting service of process. Maryland's instructions describe its resident agent as someone designated to accept service of process for the LLC. The words differ by state, but the job is the same. The glossary defines summons, complaint and the other terms used here, and the explainer on what a registered agent is covers the role in full.1, 2
Some states even build the job into the agent's legal title. California's Articles head the agent field "Service of Process (Must provide either Individual OR Corporation.)", and Delaware's statute describes "a registered agent for service of process" (6 Del. C. § 18-104).3, 4
How does service reach an LLC through its registered agent?
A process server, sheriff or other person allowed by the court's rules takes the papers to the registered office listed in the state's records and leaves them with the agent there. The owners don't have to be found in person.
That is why states write the address rule tightly, and several of them spell out that the office must be a place where papers can be handed over in person. Texas law says the registered office must be located at a street address where process may be personally served on the entity's registered agent (Tex. Bus. Orgs. Code § 5.201), and adds that it may not be solely a mailbox service or a telephone answering service. Oregon writes nearly the same test into its own LLC statute: the office must be located at a physical street address where process may be personally served on the registered agent (ORS 63.111). Alabama's rule says the office must be located at a street address in this state where process may be personally served on the agent (Ala. Code § 10A-1-5.31). Each of these wordings is about the same practical question: can a process server walk in during business hours and hand the papers to someone? The guide to registered agent address rules covers P.O. boxes and virtual offices in detail.5, 6, 7
Some states also make sure the agent has agreed to the role before its name goes on file. Washington's statute (RCW 23.95.415) reads: "A registered agent shall not be appointed without having given prior consent in a record to the appointment." The point of the consent rule is easy to see from the server's side: papers left with someone who never agreed to accept them may sit unopened.8
In general, delivery to the agent counts as service on the LLC. What happens next, and how fast, depends on the agent.
New York works differently from the states above. Every New York LLC names the Secretary of State as its agent, and the Articles say: "The Secretary of State is designated as agent of the limited liability company upon whom process against the limited liability company may be served." The state then forwards a copy. The biennial statement sets out the address to which the New York Secretary of State shall mail a copy of any process accepted on its behalf. A New York LLC may also name a private registered agent in addition, under the state's optional rule. If the forwarding address on file is stale, the copy goes to the wrong place while the case moves on.9, 10
What does a good registered agent do after it is served?
A good agent logs the papers the day they arrive, tells the company right away, and gets a copy to the owners by a method that leaves a record.
Speed and a paper trail are the two things to look for. Commercial agents publish how they handle service, and the terms vary. Here is how each provider states it.
- Swyft Filings: Documents uploaded to account; legal SOP typically within 2-3 hours.11
- InCorp: Legal documents scanned and delivered same day.12
- Harbor Compliance lists Same-day document scanning.13
- doola answers "Yes, same-day scans" on scanning.14
- Northwest: Legal documents scanned and uploaded; normal business mail scanned up to 5 docs per year free.15
- LegalZoom: Legal documents scanned and uploaded.16
Several providers add a physical copy or a delivery step. Bizee's page reads "Service of process mailed via FedEx with tracking". ZenBusiness describes its approach this way: "Scanned copies; originals forwarded only if they can't be copied. Mail and overnight delivery for urgent notices." Rocket Lawyer's listing is "State legal documents forwarded". Northwest's terms add a fallback for originals: "Originals can be forwarded for a fee within 30 days of receipt if there is a scanning issue (fee amount not stated)".17, 18, 19, 20
The alert counts as much as the scan. On dashboards, Tailor Brands' answer is "Yes, LLC dashboard with new-document notifications" and ZenBusiness's is "Yes, secure online dashboard with email notifications". An upload nobody sees does little good, so check which email address the agent will notify and keep it current. The list of registered agents for compliance compares alerts and reminders, and the registered agent mail forwarding guide separates service of process from ordinary business mail.21, 22
If a friend, relative or employee is your agent, there are no published terms to rely on. Agree in advance on how they will reach you, who opens the envelope, and what happens when they are away.
How long does an LLC have to respond after being served?
The deadline comes from the court's rules and the summons itself, and it is usually short. The summons states the time to answer and where to file, so read it the day it arrives.
This guide can't give you a single number, for three reasons. Federal and state courts set their own response periods. The type of case and the way the papers were served can change the count. And a small-claims court, a regular civil court and an administrative agency each work on different rules.
In general, the clock runs from service on the agent, not from when an owner opens the scan. Every day the papers sit in an agent's inbox, or in an old email account, is a day gone. Some courts also require a company to appear through a lawyer rather than an owner, so finding one can use up part of the time you have.
This is general information, not legal advice. A lawyer licensed in the state where the case was filed can say how much time the company has, and reaching one early leaves more of it.
What happens if service on the registered agent fails?
When a process server can't find the agent at the address on file, the lawsuit doesn't necessarily stop. In some states, such as Michigan and Wyoming, the law lets the plaintiff serve a state office instead.
The case then goes forward whether or not the owners see the papers. Michigan's statute is a clear example. If an LLC fails to keep an agent, process may be served on the administrator (LARA); the law adds that service may be made by delivering or registered-mailing the summons and complaint to the administrator. Wyoming has a similar rule when an agent resigns and no successor is named: "service of process on the business entity shall be upon the secretary of state until a new appointment is made". In New York, the Secretary of State already holds that role for every LLC, so the risk there sits in the forwarding address.23, 24
A state office can only pass papers on to an address in its records. If that address is old, or the agent it names has moved, nobody at the company may hear about the case until a default judgment arrives. A default judgment is a ruling against the company because it never answered. Undoing one, where a court allows it, usually takes a lawyer and a motion, and there is no promise it will work.
There is a second cost on top of the lawsuit. Going without an agent can also put the LLC itself at risk with the state. Georgia lists being "without a registered agent or registered office in this state for 60 days or more" as a ground for administrative dissolution, and in Ohio an LLC that doesn't cure the problem after notice can find its articles are canceled. Those state penalties are covered in the guide to what happens without a registered agent, and the way back from dissolution in the reinstatement guide.25, 26
When an agent resigns, the notice can be the first sign of trouble. New York, for instance, says a resigning agent must send a copy to the LLC by registered mail. If that letter goes to an address you no longer use, the gap opens without warning. The steps for replacing an agent are in the guide on how to change your registered agent.27
Who may accept service in each state
Each state's statute names who may act as the agent, and that list decides who can receive papers for your LLC. Washington, D.C., for example, allows a commercial agent, a noncommercial agent, or an officer or employee designated to accept service of process (D.C. Code §§ 29-104.03, 29-104.04). West Virginia is an exception among the states cited here: West Virginia LLCs are not required to appoint an agent for service of process (W. Va. Code § 31B-1-108). The table lists the statute for each of the 51 jurisdictions this site covers, with a link to its state page.28, 29
51 of 51 states publish this in the sources we checked. Each state's page has the full rule.
For a closer look at a single state, the state pages explain who may serve and the address test, such as Texas registered agent rules, New York's rules, Michigan's resident agent rules and Wyoming's rules. The full list is on the states page.
Who should receive service for your LLC?
You can name yourself, someone you trust, or a commercial service, as long as the choice meets your state's test. The right pick depends on who will reliably be at a fixed address during business hours.
Serving as your own agent costs nothing, but it means a process server may arrive at your home or shop in front of customers or family, and you have to be there. The guide on being your own registered agent covers the residency and availability rules. Owners who live outside the state, travel often or work from job sites may find a commercial service a better fit for this one job; the list for non-residents compares them, and what registered agents cost sets out prices and renewals.
Whichever you choose, test the chain once. Ask your agent how it will notify you, confirm the email and phone it holds, and check that the address in the state's records matches.
Service of process questions
Can a process server deliver lawsuit papers to my home instead of my registered agent?
The registered agent exists so the plaintiff has a reliable place to serve the company. Court rules in some places also allow service on an officer, manager or member, so papers can still reach you directly. If you are your own agent at your home address, home and agent address are the same place.
What should I do first when my registered agent says I've been served?
Read the summons the same day and note the court, the case number and the deadline it states. Save the agent's notice, since it shows when service happened. A lawyer licensed in that state can explain the options. Ignoring the papers doesn't stop the clock, and neither does a call to the plaintiff.
Does an LLC have to accept papers delivered by regular mail?
Whether mail counts as valid service depends on the court's rules and the state's law, so there is no single answer. Michigan's statute, for example, provides for registered mail in one situation, sent to the state rather than the LLC: when an LLC has no agent, service may be made by delivering or registered-mailing the summons and complaint to the administrator. Treat any court papers as urgent, however they arrive, and ask a lawyer whether service was proper.23
Can my registered agent refuse to accept service for my LLC?
An agent that has agreed to serve and is listed with the state is there to accept papers, and refusing would defeat the purpose. An agent that wants to stop acting for you files a resignation with the state instead, and the guide to cancelling a registered agent covers the notice rules that apply. Keep your contact details current so that notice reaches you.
What if I find out about a lawsuit only after a default judgment?
Speak with a lawyer right away. A court may allow a request to set aside a default, but such a request has its own time limits and conditions, and success isn't assured. Then check what went wrong: an expired agent, an old address with the state, or an alert sent to an unused email.
Is a registered agent responsible for responding to the lawsuit?
No. The agent's job ends once it has received the papers and passed them to you. Its role doesn't include filing an answer, giving legal advice or representing the LLC in court. Responding is up to the company and its lawyer, which is why the speed of the agent's handoff decides how much time you have.
